Terms & Conditions

1 The Parties

These terms and conditions govern the contractual relationship between:

and the company or person (hereinafter "the Client") who enters into an agreement for the delivery of creative services from JustStatics.

2 Scope of Services

JustStatics delivers static advertising images (hereinafter "statics") for use in paid advertising campaigns on Meta platforms. The service includes:

• Research and preparation of the Brand Master Research Document
• Production of the agreed number of statics per month according to the selected plan (delivered as finished .png/.jpg files)
• Delivery via Google Drive
• Ongoing iteration based on ad performance
• Communication takes place through Slack
• One (1) revision round per batch is included, where the Client may request minor corrections*. Revision requests must be submitted within 48 hours of delivery through Slack
• Statics are made specifically for Meta platforms. Adaptations for other platforms can be ordered separately by contacting us on Slack

*A revision round covers adjustments to text, colors or composition within the existing creative concept. Requests for a new concept, new angle, or new style are considered a new task and billed separately.

Services beyond the defined statics in the selected plan are billed separately at the applicable hourly rate or fixed quote, and must be agreed in writing before commencement.

Unused statics from a subscription period cannot be carried over to subsequent months and are not credited against the price.

3 Payment and Subscription Cycle

Payment is made monthly in advance via Stripe. The first payment is due upon sign-up, after which the amount is automatically charged each month on the sign-up date.

As JustStatics delivers statics on the 1st of each month, JustStatics reserves the right to suspend delivery if the Client's most recently scheduled payment has not been completed.

4 Performance Guarantee (Growth Plan Only)

JustStatics offers a performance guarantee on the Growth plan. The guarantee does not apply to the Starter plan.

Conditions and Client's burden of proof:

• Win criteria: The guarantee is considered fulfilled if at least one (1) of the delivered statics in a given month performs better than the Client's historical (120-day) average.
• Active duty: It is the Client's responsibility to monitor performance and submit a refund claim. JustStatics does not pay out guarantees proactively.
• Documentation: The Client must submit a written claim to emil@scouter.dk no later than 14 days after the end of the 30-day ad period. The claim must include a data extract from Meta Ads Manager as evidence.
• Test requirements: The performance guarantee is conditional on the delivered statics having received a combined budget of at least 180 DKK per day during the test period (min. 30 days).
• Access: The Client must have granted JustStatics "view-only" access to Meta Ads Manager from the start.
• Undisturbed data: No material changes to pricing, product range, budget, or targeting that distort results may have been made during the test period.

5 Delivery Times and Force Majeure

• First batch: Delivered within 48 hours (business days) after receipt of materials and access.
• Subsequent batches: Delivered on the 1st of each month. JustStatics is not responsible for delays caused by third-party outages (Slack, Meta, Google, Stripe) or missing materials from the Client.
• Force Majeure: JustStatics disclaims liability for failure or delayed delivery due to unforeseen circumstances beyond our control (e.g. technical failures or suspensions by but not limited to Meta, Google or Stripe, changes in law, crises, etc.).

6 Client Obligations

The Client undertakes to promptly provide brand materials (logo, images, etc.) and grant necessary access to Meta Ads Manager. The Client guarantees that submitted materials do not infringe third-party rights.

JustStatics reserves the right to reject source material of insufficient technical quality, including but not limited to missing file formats, poor quality product images, etc. The performance guarantee in §4 lapses if the Client insists on using materials that JustStatics has assessed in writing as unsuitable.

JustStatics does not offer the option to temporarily pause a subscription. The Client may cancel at any time in accordance with §8.

7 Copyright and License

Upon full payment, the Client receives usage rights to the finished image files. JustStatics retains ownership of all source and raw files (Figma/Photoshop) as well as methodology. JustStatics may use the finished statics in its own marketing materials unless otherwise agreed in writing.

JustStatics reserves the right to use AI tools in the production process. The Client obtains the same rights to the final material in accordance with this clause, regardless of the production methods used.

JustStatics reserves the right to demand immediate cessation of use of all delivered materials in the event of the Client's payment default.

8 Cancellation and Termination

There is no lock-in period beyond the ongoing period.

• Notice period: The Client must cancel in writing to emil@scouter.dk at least 7 business days before the 1st of a month.
• Late cancellation: If the Client cancels later than 7 business days before the 1st, the upcoming month's delivery is considered ordered. The batch will be delivered on the 1st and the associated Stripe payment will be processed as the final one, after which the subscription ends.

9 Limitation of Liability

JustStatics is not liable for general business results beyond what is covered by the guarantee in §4. Liability can never exceed the amount of the most recent invoice period. JustStatics does not cover indirect losses or loss of business.

10 Confidentiality

Both parties are bound to confidentiality regarding the other party's trade secrets and strategies. This applies during the collaboration and for 2 years after termination.

11 GDPR and Data Processing

JustStatics processes personal data in accordance with applicable GDPR legislation and solely for the purpose of delivering the service. JustStatics acts as data processor for the data the Client grants access to in Meta Ads Manager.

12 Changes

JustStatics reserves the right to index-adjust prices once per year on 1 January. The adjustment is based on the percentage increase in Statistics Denmark's net price index over the past 12 months, with a minimum of 3%. In addition, JustStatics may change plan prices with 30 days' notice by email. If the Client does not cancel within the notice period, the price increase is considered accepted.

13 Governing Law and Jurisdiction

This agreement is governed by Danish law. Disputes are resolved at Copenhagen City Court.
